Job Description
1. Job Summary
The Corporate Treasurer is a statutory corporate officer responsible for the custody, management, and safeguarding of all corporate funds, cash assets, banking facilities, and financial resources of the company. The Treasurer shall oversee cash administration, financial compliance, tax remittance, treasury operations, and ensure full adherence to the Revised Corporation Code of the Philippines, BIR, SEC, and other government regulatory requirements. This position shall implement internal financial controls, prepare financial reports, and provide sound financial recommendations to the Board of Directors and Company President.

- Reports directly to: Board of Directors / Company President
- Functional Coordination: Corporate Secretary, Accountant, External Auditors, Banks, and Government Regulatory Agencies
3. Key Duties and Responsibilities
3.1 Statutory and Regulatory Compliance
- Act as the official fund custodian of the corporation under the Revised Corporation Code (RCC).
- Comply with all governing laws, rules, and regulations issued by SEC, BIR, and other Philippine government authorities.
- Certify, sign, and execute statutory financial documents including annual financial statements, tax returns, and other government filings.
- Maintain accurate and complete corporate financial books, cash records, and treasury documentation for audit and government inspection.
3.2 Cash and Treasury Management
- Manage all corporate bank accounts, including account opening, closing, authorized signatories, bank reconciliation, and banking coordination.
- Supervise daily cash receipts, disbursements, fund transfers, and ensure proper documentation and approval for all monetary transactions.
- Monitor company cash flow, maintain sufficient liquidity, and prepare periodic cash flow forecasts.
- Manage idle corporate funds and recommend secure short-term investments in compliance with board resolutions.
- Handle foreign currency transactions, remittances, and cross-border fund movements accordingly.
3.3 Financial Reporting and Budgeting
- Prepare monthly, quarterly, and annual financial statements in accordance with Philippine Financial Reporting Standards (PFRS).
- Conduct financial analysis, variance analysis, and management reporting for business decision-making.
- Lead annual budget preparation, monitor budget execution, and report financial performance to the management and board.
3.4 Taxation and Government Liaison
- Ensure timely and accurate filing of all tax returns including income tax, withholding tax, VAT, and other mandatory government contributions.
- Secure tax compliance certificates, permits, and clearances required for business operation.
- Serve as the company’s liaison with BIR, SEC, and other relevant government agencies for financial compliance matters.
3.5 Internal Control and Risk Management
- Establish and enforce internal financial control policies, payment authorization limits, and segregation of duties to prevent fraud and asset misappropriation.
- Safeguard all company cash, assets, securities, and financial documents.
- Coordinate internal audits and external year-end audits; resolve audit findings and implement corrective actions.
- Ensure compliance with Anti-Money Laundering (AML) regulations and applicable financial laws.
3.6 Financing and Investment Administration
- Monitor corporate loans, payables, debt obligations, and comply with bank loan covenants.
- Assist the Board in evaluating financing options, bank facilities, and capital raising activities.
- Oversee company investment portfolios as authorized by the Board of Directors.
3.7 General Administrative Duties
- Attend all scheduled board meetings and submit periodic treasury progress reports.
- Collaborate closely with the Corporate Secretary for corporate documentation, board resolutions, and regulatory submissions.
- Perform other legally permissible treasury functions assigned by the Board of Directors or Company President.
4. Minimum Qualifications
- Bachelor’s Degree in Accountancy, Finance, Business Administration, or any related business course.
- Knowledge of Philippine corporate law, BIR tax regulations, SEC compliance, and basic auditing procedures.
- Familiar with banking procedures, cash management, and financial reporting standards in the Philippines.
- High integrity, confidentiality, and strong attention to detail in handling company funds.
- Ability to prepare financial records, government reports, and formal business documents.
- Good communication skills to coordinate with banks, government agencies, and internal management.
5. Authority and Limitation
The Corporate Treasurer shall have the authority to manage daily treasury operations within the approved company policy. Any major fund allocation, large-value investment, or borrowing activity shall require prior approval from the Board of Directors. The Treasurer shall not concurrently hold the position of Corporate President in compliance with Philippine Corporation Code.
