Description

Transactional Lawyer/Counsel:

  • Legal Counsel: Provide comprehensive legal guidance and support to internal stakeholders on all aspects of real estate transactions and projects.
  • Contract Review and Negotiation: Review, draft, and negotiate a variety of real estate contracts and agreements, including purchase and sale agreements, loan documents, lease agreements, easements, licenses, management agreements, and development agreements.
  • Due Diligence: Conduct thorough due diligence reviews for real estate transactions, including title examinations, environmental assessments, zoning and land use analysis, and regulatory compliance checks.
  • Risk Management: Identify and mitigate legal risks associated with real estate transactions and projects, ensuring compliance with relevant laws, regulations, and company policies.
  • Transactional Support: Collaborate with cross-functional teams, including finance, operations, development team, and external stakeholders, to support the successful completion of real estate transactions and projects.
  • Litigation Management: Manage real estate-related disputes and litigation matters, working closely with external counsel as necessary to achieve favorable outcomes.
  • Regulatory Compliance: Stay abreast of changes in real estate laws and regulations, advising on potential impacts and ensuring compliance with legal requirements at the local level.
  • To address regulatory compliance issues and requesting for necessary certifications from the Department of Human Settlements and Urban Development (DSHUD), such as a Certificate of Registration and License to Sell, before purchasing a property. 
  • Assist in the registration of the property with the Land Registration Authority (LRA), whether the acquired property is for personal or commercial use. 
  • He shall assist management in deals involving nationality restrictions on land ownership, rights of indigenous people over ancestral lands, and other issues involving special classes of property. Shall be present in the closing of the purchase or sale of real estate. 
  • Strategic Advising: Provide strategic legal advice and guidance to management on real estate matters, helping to inform key business decisions and initiatives.
  • Training and Education: Conduct training sessions and provide educational materials to internal teams to enhance understanding of real estate legal issues and best practices.

Requirements

  2. Must be a member of the Philippine Bar;
  3. At least 6 months working experience as a counsel specifically with real estate or construction is a plus.
  4. Strong understanding of real estate legal principles, including property law, contract law, leasing, zoning, and land use regulations.
  5. Excellent negotiation, drafting, and communication skills.
  6. Knowledge of the English language to communicate effectively, both orally and in writing. Ability is required to record observations and activities, to follow oral and written directions, and to establish and maintain effective working relationships with others. 
  7. Ability to work independently and collaboratively in a fast-paced environment, managing multiple priorities effectively.
  8. Attention to detail and strong analytical skills.
  9. Experience in litigation management is a plus.
