The Paralegal – Corporate Governance serves as the operational backbone of the Corporate Governance function. This role provides comprehensive corporate governance, board secretariat, records management, and administrative support for the Group and its entities. The Paralegal is directly responsible for preparing corporate documents, coordinating statutory meetings, handling statutory regulatory filings, maintaining corporate registers, and providing high-level legal and executive administration.


Key Responsibilities

  • Board Secretariat & Meeting Governance: Act as secretariat support for the Board of Directors, ExeCom, stockholders' meetings, and other governance committees. Coordinate schedules, notices, agendas, confirmations, and logistics, while ensuring complete board packs are released on schedule.
  • Minutes & Corporate Records: Draft and finalize minutes for the Board of Directors, Joint BOD, Executive Committee, and Annual/Special Stockholders' meetings. Maintain, reconstruct, and ensure the proper indexing, safekeeping, and accuracy of corporate records and minute books.
  • Board Resolutions & Secretary's Certificates: Prepare Secretary's Certificates, Board Resolutions, and related governance certifications within agreed turnaround times, while managing signature routing and resolution registers.
  • SEC & Statutory Filings: Prepare, coordinate, and monitor deadlines for annual and periodic regulatory submissions, including the General Information Sheet (GIS), SEC reportorial requirements, and other compliance filings.
  • Governance Framework & Policy Support: Maintain governance calendars, approval matrices, and board authority schedules. Assist Legal Counsel in policy drafting, formatting, version control, and maintaining the centralized corporate policy register.
  • Operations Reporting & Dashboard Management: Consolidate monthly accomplishments and service metrics to prepare first drafts of the monthly Legal Services Rendered dashboard for management and board reviews.
  • Supervision of Legal Assistant: Delegate tasks related to filing, scheduling, document routing, and record keeping to the Legal Assistant, ensuring the quality and timely completion of support work.
  • External & Executive Coordination: Coordinate with internal departments for governance requirements, interface with external law firms regarding billings and submissions, and provide executive assistant support related to legal scheduling.


Qualifications

  • Technical Knowledge: Deep understanding of SEC and corporate reportorial requirements (e.g., GIS), paralegal workflows, board meeting coordination, and specialized legal record-keeping rules. Strong background in legal drafting (resolutions, minutes, certificates), governance framework administration, and dashboard/metric consolidation.
  • Behavioral Competencies: Excellent communication and presentation skills, high corporate accountability, outstanding organizational ability to hit strict statutory targets, and the capacity to handle tight board deadlines under pressure. Absolute discretion and integrity in enforcing corporate ethics, conduct codes, and data privacy policies.
  • Job Requirements: Bachelor’s degree in Legal Management, Political Science, Business Administration, or a related field. Professional certifications or legal studies (paralegal certificate or ongoing Juris Doctor) are a distinct advantage. Must have at least 3-5 years of solid corporate paralegal, board secretariat, or governance coordination experience.
