Job Summary

The Legal Manager is responsible for leading the company’s legal, compliance, and corporate governance functions, ensuring adherence to regulatory requirements and alignment with business objectives. The role oversees corporate housekeeping, manages legal risks, and provides strategic legal support to operations and project development, including contract review and due diligence. Acting as the primary liaison with external legal counsel, the Legal Manager ensures effective handling of legal matters and proceedings while guiding internal stakeholders on legal and compliance issues. This position also drives accountability within the legal function, supporting sound decision-making and safeguarding the company’s interests across all areas of operation.

Core Functions

1.LMA (Lead, Manage, Accountable)

a. Lead, Manage and Hold Accountable (explicitly stated as Core Function #1)

b. Lead Risk Management Committee

c. Monitor implementation of solutions and compliance (risk/data privacy)

2. Corporate Housekeeping

a. Acts as Corporate Secretary/Assistant Corporate Secretary

b. Calls Board of Directors (BOD) meetings

c. Prepares and records minutes of meetings

d. Issues Secretary Certificates

e. Maintains corporate books and stock records

f. Issues stock certificates

3. Legal Consultants Coordination

a. Liaises with external legal advisers and affiliated company counsel

b. Represents the company in legal proceedings

4. Project Development Support (including contracts)

a. Reviews contracts and ensures company interests are protected

b. Conducts due diligence on clients/investors

c. Provides legal advice affecting business/operations (including projects)

5. Compliance, Labor and Operations Support

a. Ensures compliance with permits and licenses

b. Oversees regulatory compliance with government agencies

c. Provides legal advice to operations

d. Manages data privacy compliance

e. Identifies and manages legal/business risks

Education & Experience

• Bar Examination Passer
• Graduate of Bachelor of Laws
• At least five (5) years experience in real property development or related field
• Critical thinker with good analytical skills; able to ask the right questions to uncover real issues and able to use information effectively to predict outcomes
• Good reasoning ability: able to solve business problems
• With customer service experience
• Strong written and verbal communication skills
• Effective presentation skills
• Familiar with regulatory compliance
• Strong negotiation skills
• Computer literate
